Terms of use – Payment & Subscriptions

1) Subscriptions
1.1 Purchase & Activation
By signing up to or otherwise using the SoundBirth platform, app, services, websites, and software applications (together, the “SoundBirth Service” or the “Service”), you enter into a binding contract with SOUNDBIRTH SAS.
These Payment & Subscriptions Terms of Use (the “Payment & Subscriptions Terms”) apply to the Services and tools you access when purchasing a SoundBirth Premium or SoundBirth Premium Max subscription (together, “SoundBirth Subscriptions”). Your agreement with us includes these Payment & Subscriptions Terms, our Terms of Use, and our Privacy Policy (collectively, the “Agreements”). By using the Service, you acknowledge that you have read, understood, and agree to be bound by the Agreements. If you do not agree (or cannot comply), do not access or use the Service.
You may purchase a SoundBirth Subscription on a monthly or annual basis via in-app purchase (iOS/Android) or, where permitted, via our web checkout. Once your payment is confirmed by the relevant payment provider, your Subscription is activated immediately on your SoundBirth account.
1.2 Auto-Renewal
Subscriptions automatically renew at the end of each billing cycle using your selected payment method until cancelled by you or terminated by SoundBirth. Unless otherwise stated, renewal occurs at the then-current price.
1.3 Managing Your Subscription
•If you purchased in-app on iOS or Android, you must manage and cancel through your Apple App Store or Google Play account settings.
•If you purchased via our web checkout (including promotional plans offered via newsletters or our online payment pages, where permitted), you must manage and cancel via the same channel indicated at purchase (or as described in our FAQ).
•Upon cancellation, you retain access to paid features until the end of the current paid term; thereafter your account reverts to free.
• Partner Services (e.g., MusicStart by SACEM). Partner Services made available in the App are provided by third parties under their own Partner Terms. Management and cancellation must be performed through the same channel used at purchase (App Store/Google Play or web, where permitted).

1.4 Upgrades, Downgrades & Proration
•Upgrade (e.g., Premium → Premium Max): access to higher-tier features is immediate; unless otherwise specified by the store, billing may be prorated per store rules.
•Downgrade (e.g., Premium Max → Premium): takes effect at the end of your current paid term. You will lose access to Premium Max-only tools thereafter.
1.5 Grace Period (Store Rules)
If a renewal payment fails (e.g., expired card), a grace period may apply per Apple/Google policies. During the grace period, access may continue. If payment subsequently succeeds, you will be charged retroactively for the grace period. No grace period applies if your Subscription or account is terminated.
1.6 Price Changes & Notice
We may change Subscription pricing. We will give you at least 30 days’ notice before any increase takes effect. If you do not agree, you may cancel before the effective date; continuing to use the Service after that date constitutes acceptance. We will not increase the price within a period you have already paid for.
1.7 EU Withdrawal Right (Digital Services)
If you reside in the EEA, you have a 14-day statutory withdrawal right. By purchasing a Subscription with immediate access, you request immediate performance and acknowledge that you lose your withdrawal right once performance begins, pursuant to applicable consumer law.

2) Payments
2.1 Channels & Terms
•In-app iOS: Apple App Store terms apply in addition to these Terms.
•In-app Android: Google Play terms apply in addition to these Terms.
•Web payments (where permitted): our designated processor’s terms apply.
You will receive a payment confirmation when your transaction is approved. We may require KYC/AML verification (e.g., ID/address) and may delay access or payout until verification is complete. We may refuse or reverse transactions suspected of fraud, sanctions violations, or unlawful activity.
2.2 Currency, FX & Fees
Prices may be displayed in your local currency. Actual charges and payouts can vary due to exchange rates, payment gateway fees, and bank charges. Any currency conversion costs and bank fees may be deducted.
2.3 Invoices & VAT
Where required, we provide a receipt or invoice. Prices may be inclusive or exclusive of VAT depending on region; any applicable VAT will be displayed at checkout.
2.4 Set-off & Negative Balances
We may set off or offset any amounts you owe us (e.g., chargebacks, adjustments, unrecouped advances, fraud clawbacks, fees) against any amounts payable to you (e.g., royalties, wallet balances, refunds). If your balance becomes negative, you agree to promptly cover the shortfall upon request.
2.5 Partner Services billed via SoundBirth
In certain cases, and where permitted, SoundBirth may collect fees for a Partner Service (e.g., MusicStart) on behalf ofthe Partner or as merchant of record. Specifics (price, billing cycle, renewal, cancellation) are shown at checkout and in the FAQ. Any cancellation must be performed through the same channel used for purchase. Refunds, if any, follow the channel’s rules (Apple/Google or web) and/or the applicable Partner Terms.

3) Partner Services & Integrations (e.g., SACEM – MusicStart)
Some features made available in the App provide access to services offered by third parties (“Partner Services”), such as MusicStart by SACEM. Partner Services are provided solely by their respective providers and are governed by their terms and policies (“Partner Terms”), available in-app and/or on our website. By accessing a Partner Service, you accept the applicable Partner Terms, which prevail for that service in case of conflict with these Terms.
Unless otherwise stated where permitted, access, purchase, management, and cancellation of a Partner Service must be performed via the same channel used at purchase (e.g., App Store/Google Play or web checkout). Pricing, billing cycles, trials, and renewals for Partner Services may differ from your SoundBirth Subscription.
You authorize us to share with the Partner the minimum data necessary to deliver the service (e.g., identifiers, your works’ metadata, required proofs) and acknowledge the Partner processes such data under its own policies. SoundBirth is not a party to your agreement with the Partner (unless expressly stated) and does not warrant any content, availability, performance, eligibility, results, or fitness of any Partner Service. We may suspend or remove any integration at any time (e.g., partner discontinuation, non-compliance, legal requirements).
Without limitation, you remain solely responsible for: (i) the accuracy and lawfulness of information/works submitted; (ii) respecting third-party rights; and (iii) any membership/registration decisions by organizations (e.g., SACEM), which remain at their sole discretion. MusicStart is a proof/timestamp tool and does not constitute a rights transfer, clearance, or a guarantee of acceptance by any rights organization.

4) Subscription Tiers
You’ll find the pricing for SoundBirth SUBSCRIPTIONS within the SoundBirth app and on our website.
We reserve the right to change the pricing at any time. If we do, we will notify you in advance, giving you time to cancel your Subscription. We will not, however, increase the price during your Subscription period.
4.1 Premium
By subscribing to Premium via iOS/Android in-app purchase (or web, where permitted), you gain access to all Premium features shown in the app, except those marked “Premium Max”.
4.2 Premium Max
By subscribing to Premium Max, you gain access to all Premium features plus the features indicated in the app as Premium Max.

5) Royalty Payments
5.1 Collection & Reporting
SoundBirth collects royalties from digital platforms (e.g., Spotify, Apple Music, YouTube). Platforms report and remit on their own schedules; this typically takes 2–6 months after usage. Once received and cleared, SoundBirth endeavors to credit royalties monthly to your in-app dashboard.
5.2 Payouts & Thresholds
You may request a payout once your balance reaches the minimum threshold shown in the app, via the payout methods available in your region (e.g., bank transfer, PayPal). Payout timing may vary due to KYC/AML checks, holidays, bank processing, or investigations.
- Premium Max subscribers retain 100% of their royalties.
- Premium subscribers are subject to a 10% distribution commission on net royalties.
- Free users (no active subscription) are subject to a 30% distribution commission on net royalties to cover operational and administrative costs.
5.4 Splits
For split royalties, each collaborator must accept the split invitation. If a collaborator does not hold an active Subscription, a 15% commission will apply to their share as above.
5.5 Net Basis & Deductions
Royalties are paid on a net basis. We may deduct:
(a) platform-assessed adjustments and partner/service fees;
(b) bank transfer fees, payment gateway fees, and currency conversion costs;
(c) VAT or other taxes where applicable;
(d) any lawful offsets, clawbacks, or set-offs under these Terms.
Unless required by law, SoundBirth does not withhold income taxes on your behalf. You are solely responsible for your own tax filings and payments.
5.6 Fraud, Artificial Activity & Clawbacks
If fraudulent or artificial activity is suspected or confirmed (including inflated streams/plays, manipulation, bots, or breach of platform policies), we may withhold, reverse, or claw back affected amounts and offset related sums against future payouts, in line with platform determinations and/or our reasonable assessment. We may also suspend payouts during investigations.
5.7 Unclaimed Royalties
Unclaimed balances may expire after 36 months of inactivity, to the extent permitted by law. Prior to expiry, we will make reasonable attempts to contact you using your registered details.
5.8 Statements, Disputes & Audit (Artists)
Detailed royalty statements are available in your dashboard. You may dispute a statement within twelve (12) months of its availability. On reasonable notice, you may conduct an audit via an independent qualified accountant.

6) Royalty Advances (Premium Max Only)
6.1 Eligibility & Offers
SoundBirth may offer selected Premium Max users a royalty advance at our sole discretion, based on internal criteria (e.g., historical performance, territory, growth trends). An offer does not guarantee future eligibility.
6.2 Fee & Recoupment
A 10% service fee applies to each advance and is deducted from the advance amount. Advances are recouped automatically from your future royalties. Until fully recouped, payouts may be withheld and applied against the outstanding balance.
6.3 Cross-Collateralization & Scope
Unless otherwise stated in your offer, advances are cross-collateralized across all your SoundBirth-distributed content (present and future) until fully recouped.
6.4 Restrictions & Default
While any advance remains outstanding, you may not (i) request takedowns of distributed content, (ii) close your account, or (iii) terminate your Subscription. If you attempt any of the foregoing or otherwise breach the Agreements, we may refuse such actions and/or demand immediate repayment of the remaining balance and pursue available legal or financial remedies.
6.5 Nature of Advance
Advances are not a loan or credit line and are non-negotiable unless explicitly stated. Advances do not affect your ownership of the music but may affect timing of royalty payouts. KYC/AML checks apply.

7) Marketplace
7.1 Description
The Marketplace provides music promotion and licensing workflows enabling Artists to submit tracks (“Artist Content”) to Creators/Influencers and Curators for feedback and potential promotional use, subject to these Terms and the general Terms of Use.
7.2 Fees & Commissions
All Artist payments are conducted using in-app credits (“SoundBirth Coins”). Creators/Curators set their Promotion Fees in their profile (subject to change). SoundBirth charges a 50% commission on Promotion Fees (deducted when amounts are deposited into the Creator/Curator Withdrawal Wallet). Amounts are inclusive of VAT unless stated otherwise; you are responsible for any applicable VAT/duties in your jurisdiction.
7.3 Statements & Withdrawals (Creators/Curators)
Creators/Curators may withdraw from their Withdrawal Wallet by bank transfer once the threshold shown in the app is reached. Accounting information (paid/payable amounts) is available in your dashboard. Statements are deemed accepted if not disputed within three (3) months of the relevant payment. Credits may expire and become non-payable if you neither request payment nor log in for at least one (1) year.
7.4 Debits & Credits Triggers
(a) Feedback-based debits (Artists). When a Curator/Media provides feedback in-app, the corresponding Coins are debited from the Artist. Providing feedback does not oblige the Curator/Media to add the track to any playlist or channel; placement is at their sole discretion.
(b) Proof of delivery (Creators). For creator posts, the Creator must share in-app a valid link to the post using the Artist’s music (e.g., TikTok/Reel/Short). If SoundBirth determines the post was not delivered as agreed (e.g., wrong/inaudible audio, muted or mis-tagged sound, different track, or other material non-compliance), the Artist will be re-credited the relevant Coins.
(c) Missed professional calls. For one-to-one video consultations, if the professional does not attend, the Artist is re-credited the relevant Coins.
7.5 Timelines & Re-Credits
Feedback and Posting windows are stipualted within the app.
Failure to meet these timelines (other than for force majeure or the Artist’s fault) may result in an automatic re-credit to the Artist.
7.6 Promotional License (Artist → Creator/Curator)
For each Marketplace order, the Artist grants the Creator/Curator a non-exclusive, worldwide, royalty-free license to reproduce, publicly communicate, and incorporate the relevant track excerpt in the post(s) specified in the order, solely for promotional purposes of the Artist on the indicated social platforms. Any paid advertising, commercial synchronization, or reuse beyond the order requires the Artist’s prior written consent.
7.7 Compliance & Prohibited Content
Creators/Curators must comply with applicable influencer marketing rules (e.g., ARPP/FTC) and clearly disclose any paid partnership (e.g., “#ad”, “#partnership”). Content that is illegal, hateful, harassing, or violates platform policies is prohibited. SoundBirth may remove content or withhold funds for violations.
7.8 One-to-One Video Mentor Calls
Mentor Call fees are displayed in the App and paid in SoundBirth Coins. Once a scheduled call has occurred and the professional has attended, fees are non-refundable, regardless of subjective outcome. If the professional does not attend, the Artist will be credited back the relevant Coins. SoundBirth does not guarantee any result or opportunity from a Mentor Call.
7.9 Marketplace Disputes
Report Marketplace issues in-app promptly and, in any event, within 24 hours of (i) the feedback, (ii) the missed posting deadline, or (iii) the scheduled call time. We may request supporting information and will make a good-faith determination at our sole discretion. If we resolve in favor of the Creator/Curator/Professional or a third-party rightsholder, we may remove or withhold funds from the relevant Artist or invoice the Artist where balances are insufficient. If we resolve in favor of the Artist, we will credit the Artist’s wallet with the corresponding Coins.

8) Term, Termination & Data Deletion
8.1 Term
These Payment & Subscriptions Terms commence on the Effective Date of your first payment and continue until terminated in accordance with the Agreements.
8.2 Termination by You
If you cancel or do not renew, your account reverts to free at term-end and you lose access to paid tools. You may re-subscribe at any time, subject to availability.
8.3 Termination by SoundBirth
We may suspend or terminate your Subscription or account at any time if we reasonably determine that you (i) uploaded infringing content; (ii) engaged in illegal, fraudulent, forced, or manipulated activity; (iii) breached the Agreements; or (iv) made or attempted fraudulent payments. We may disable or block your account, remove content, freeze payouts, and withhold royalties during investigations without prior notice.
8.4 Data Deletion
You may request complete deletion of your data and account from the “More” section of the app. Note: your subscription is tied to your App Store/Play Store or web purchase channel and must be managed there.

9) Refunds
As access to SoundBirth Subscriptions (or SoundBirth Coins) is delivered immediately after payment on the Appstores, or after KYC check on our web process. Refunds are generally not available, except where SoundBirth is in direct breach of these Terms or where mandatory consumer law applies (including EEA withdrawal rules noted above). Store-specific refund rules (Apple/Google) may also apply. No refund is due if we terminate your account for breach.
We are not liable for failures of third-party services, though we will use reasonable efforts to help resolve issues.

10) Disclaimers & Liability
THE SOUNDBIRTH SERVICE (INCLUDING SUBSCRIPTIONS, MARKETPLACE, AND MENTOR CALLS) IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT WARRANT THAT ACCESS WILL BE CONTINUOUS, UNINTERRUPTED, ERROR-FREE, OR SECURE. TO THE EXTENT PERMITTED BY LAW, YOUR SOLE REMEDY FOR DISSATISFACTION IS TO STOP USING THE SERVICE AND CANCEL YOUR SUBSCRIPTION.
You represent that you have all necessary permissions for any artist profiles you create or manage and that royalty splits you administer are accurate. You agree to indemnify SoundBirth against claims arising from your content, splits, or unlawful use.

11) Changes to the Agreements & Service
We may modify the Agreements from time to time. For material changes, we will provide prominent notice (e.g., in-app notice or email). In some cases we will notify you in advance; your continued use after changes take effect constitutes acceptance. If you do not accept changes, you must stop using the Service and cancel your Subscription. We may also modify or discontinue features of the Service at any time.

12) Governing Law, Dispute Resolution & Miscellaneous
Governing law & venue. These Terms are governed by French law. Disputes shall be brought before the competent courts of Marseille, without prejudice to mandatory consumer rights (e.g., you may benefit from local courts where required by law).
Consumer mediation & ODR (EU). Where applicable, you may access consumer mediation mechanisms or the EU’s online dispute resolution platform. Your statutory rights remain unaffected.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
Severability; no waiver. If any provision is unenforceable, the remainder remains in effect. No waiver of rights is implied by any delay or failure to enforce.
Assignment. We may assign or transfer these Terms (in whole or part). You may not assign without our prior written consent.
Language & precedence. These Terms may be provided in multiple languages. In case of discrepancy between English and French versions, the French version prevails.
